Terms of Service

1. Acceptance of Terms. By accessing or using the Assistlyx service, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree, you are prohibited from using the service.
2. Service Description. Assistlyx provides e‑commerce support services including order and delivery assistance, refund and return processing, payment dispute resolution, and marketplace account support for platforms such as Amazon, Shopify, and Etsy. Services are delivered on a per‑ticket or monthly subscription basis.
3. Eligibility. You must be at least 18 years old and capable of forming a binding contract to use our services. By agreeing to these terms, you represent that you meet these requirements.
4. Account Access. To perform support services, you may grant us limited access to your marketplace accounts. You agree that this access is solely for the purpose of resolving the specific issue and that you will not hold us liable for any actions taken within that authorized scope.
5. Fees and Payment. Fees for per‑ticket services are due within 7 days of invoice. Subscription plans are prepaid monthly or annually. All fees are non‑refundable except as expressly stated in our Refund Policy. Prices are subject to change with 14 days notice.
6. Cancellation. You may cancel your subscription at any time via your account dashboard. Cancellations for monthly plans take effect at the end of the current billing cycle. Annual plans are eligible for a prorated refund of unused months, minus a 10% administrative fee.
7. Prohibited Uses. You may not use our services for any illegal or unauthorized purpose, including but not limited to adult content, gambling, counterfeit goods, or any activity that violates applicable laws or marketplace policies. We reserve the right to terminate service immediately for such violations.
8. Intellectual Property. All content provided by Assistlyx, including text, graphics, logos, and software, is the property of Assistlyx and protected by copyright and trademark laws. You may not copy, modify, or distribute any of our materials without written permission.
9. User Responsibilities. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to provide accurate and complete information when using our services.
10. Confidentiality. Both parties agree to keep confidential any non‑public information disclosed during the provision of services. We will sign a separate Non‑Disclosure Agreement (NDA) upon your written request.
11. Limitation of Liability. To the maximum extent permitted by law, Assistlyx shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the service. Our total liability shall not exceed the amount you paid us during the twelve months preceding the claim.
12. Disclaimer of Warranties. The service is provided “as is” and “as available” without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, error‑free, or that defects will be corrected.
13. No Guarantee of Specific Results. While we strive to resolve every issue successfully, we cannot guarantee specific outcomes such as the removal of a negative review, reinstatement of a suspended account, or prevention of chargebacks. Marketplace decisions are beyond our control.
14. Indemnification. You agree to indemnify and hold harmless Assistlyx, its employees, and affiliates from any claims, damages, losses, and expenses arising out of your use of the service or your violation of these terms.
15. Third‑Party Services. Our service may integrate with third‑party platforms (Amazon, Shopify, PayPal, etc.). We are not responsible for the acts or omissions of these third parties, and your use of their services is governed by their own terms.
16. Force Majeure. Assistlyx shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labor, or materials.
17. Dispute Resolution. Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration administered by the American Arbitration Association in San Diego County, California. Each party shall bear its own attorney fees.
18. Governing Law. These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
19. Entire Agreement. These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Assistlyx and supersede all prior agreements and understandings.
20. Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
21. Waiver. The failure of Assistlyx to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
22. Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms freely without restriction.
23. Communications. You consent to receive electronic communications from us regarding your account and these Terms. We may communicate with you via email or through notices posted on our website.
24. Feedback. If you provide us with any feedback or suggestions regarding the Services, you grant us a perpetual, irrevocable, royalty‑free license to use them without any obligation to you.
